Is this a good price for a 08 550i?

I've been looking around for an 08 550i for sometime now.
I found this at an out of state dealer.
08 550i with 22k miles, Grey/Black, Sports Package, Cold Weather, Comfort Access, Navigation and Logic7 Sound. I owner.
4 brand new tires.
Its CPO, and he's offering it for 46.5k, or 44k without CPO.
How much should i be paying for this car? Ideally I would have liked for it to have the sports paddle shifters, and HUD, but I don't find too many of those around.
I was thinking of around 42k without CPO, considering I'd have another 1k in shipping to me.
what do you think?

Thats not a good deal way to much look around and you will find BRAND new 550i at dealerships that you could get a really good deal on.

FYI: I'm seeing 06 M5's in the mid 40's with low miles (20k or less) on the odometer.

Personally, I'd rather have an 06 M5 than an 08 550 with the same miles for similar money.
